Thank you for using the services of CARFAX Europe GmbH!

These General Terms and Conditions apply to all business relationships between CARFAX Europe GmbH ("CARFAX") and its customers, unless the parties conclude a separate agreement in writing. Please read this document carefully. It contains important information about your rights and obligations, as well as about your own limitations and exclusions.

1. Conclusion of the contract

Statements regarding CARFAX's service and products available on its website do not constitute a binding offer. By placing an order, the customer makes a binding offer to conclude a contract. After the customer has placed the order, CARFAX will process the order and send you an e-mail confirmation of the customer's order receipt. The confirmation of receipt of the order does not constitute acceptance of the order. Acceptance of the order is confirmed in a separate notification or by delivery of the requested goods or services. CARFAX sends the customer the order information and terms and conditions by e-mail. The Client may receive the Terms and Conditions at any time.

2. License, Title

If a CARFAX Vehicle History Report is purchased, CARFAX hereby grants the customer a limited, non-transferable and non-exclusive license to access the data contained in this report and to use such data for its own, non-commercial purposes.

If you purchase a package of five reports, the package is valid for a period of 1 year. During this period, the customer may visit our website at any time to use the rest of the reports.

A report shared based on an order is visible for 30 days. During this period, the client may open the report as often as desired.

3. Access and Use Restrictions

CARFAX reserves the right to refuse any order which, in the opinion of CARFAX, would result in vehicle history reports being used to the detriment of CARFAX. The customer is not allowed to distribute, disseminate, copy or publish, in whole or in part, the vehicle history report database. Commercial use and / or resale and further distribution, in whole or in part, of CARFAX vehicle history reports is strictly prohibited. The term "commercial use" means use by persons engaged in business activities related to the search, purchase and / or sale of cars, resale or further distribution of vehicle history reports, or other activities as specified by CARFAX.

In particular, any automated access to or use of the database, eg using screen scraping or similar techniques, is not permitted. If the customer submits the Vehicle History Report to a third party, the customer shall not: (A) use the Vehicle History Report or information for any illegal purpose; (B) submit the vehicle history report or information to any party for resale by any means; (C) Provide vehicle history reports or information to any motor vehicle manufacturer, its financing, rental or leasing subsidiaries (except as part of the normal dealership business), or its advertising agencies; (D) replaced, changed and edited labels, copyright notices and notices on CARFAX vehicle history reports and related parts of the documentation; or (E) parse vehicle history reports or information obtained from CARFAX.

The Customer shall not make any written or oral representations to any person or entity regarding CARFAX or any Vehicle History Report that is inconsistent with the provisions of this Agreement and the information contained in the Vehicle History Report.

4. Fees

When purchasing a Vehicle History Report Package, the customer will only be charged for reports for which a valid Vehicle Identification Number (VIN) has been provided. Entering an invalid VIN will generate an error message and the fee will not be charged. There is also no charge if the customer provides a valid VIN but no information on that vehicle is found. Subject to clause 6 below, once the order has been accepted, the customer is not entitled to a refund of vehicle history reports or packages of such reports, as no refunds will be made.

5. Invoicing, payments

The customer can pay by credit card (American Express, MasterCard or Visa) or via the PayPal website. All fees become due upon acceptance of the order. CARFAX issues and sends an invoice for each order. Each invoice will show the total amount to be paid. All prices include German VAT.

6. Information on the customer's right to cancel the contract

This clause 6 does not apply to customers as defined in § 13 of the German Civil Code (Bürgerliches Gesetzbuch).

Right to cancel the contract

The customer may withdraw from the contract in writing (e.g. by fax, letter or e-mail) within 14 days without giving any reason. The deadline runs from the receipt of this written instruction, but not before the conclusion of the contract and not before our fulfillment of our disclosure obligations pursuant to Art. 246 § 2 in connection with § 1 sec. 1 and 2 of the Introductory Act to the German Civil Code (Einführungsgesetz zum Bürgerlichen Gesetzbuch) and the obligations provided for in § 321g para. 1 sentence 1 of the German Civil Code in conjunction with Art. 246 § 3 of the Introductory Act to the German Civil Code (Einführungsgesetz zum Bürgerlichen Gesetzbuch). To meet the withdrawal deadline, it is sufficient to send a declaration of withdrawal from the contract on time. The declaration of withdrawal should be sent to the following address:

Legal consequences of contract cancellation

In the event of an effective annulment of the contract, each party is obliged to return all benefits received by it and spend any benefits obtained from them (e.g. interest). If the customer is unable to return, in whole or in part, the products or benefits received (e.g. usage benefits) or can only return them in a degraded condition, he may be required to compensate for any impairment losses. This may result in the customer having to fulfill his contractual obligations anyway for the period until the contract is canceled. The period for fulfilling the obligations for the return of payments is 30 days. For the customer, the above period shall run from the moment the declaration of withdrawal is sent to CARFAX, and for CARFAX, this period shall run from the time of receipt of this declaration.

Special information

The right of the customer to cancel the contract expires earlier if both parties have fulfilled the contract at the express request of the customer before the customer has exercised this right.

End of the customer's right to cancel the contract

CARFAX's web shop is aimed at English-speaking customers. Therefore all communication as well as any documentation and terms and conditions are available in English language only. However, as the instruction about your right of revocation is based on an official template in German language, the German wording of this instruction follows, in order to ensure that CARFAX complies with the legal framework on customer protection.

Sie können Ihre Vertragserklärung innerhalb von 14 Tagen ohne Angabe von Gründen in Textform (z. B. Brief, Fax, E-Mail) widerrufen. Die Frist beginnt nach Erhalt dieser Belehrung in Textform, jedoch nicht vor Vertragsschluss und auch nicht vor Erfüllung unserer Informationspflichten gemäß Artikel 246 § 2 in Verbindung mit § 1 Absatz 1 und 2 EGBindGB sowie unserer Pflichten gemäß § 312g mit Abs in 1gb Verbz 1 Artikel 246 § 3 EGBGB. Im Falle eines wirksamen Widerrufs sind die beiderseits empfangenen Leistungen zurückzugewähren und ggf. gezogene Nutzungen (z. B. Zinsen) herauszugeben. Können Sie uns die empfangene Leistung sowie Nutzungen (z. B. Gebrauchsvorteile) nicht oder teilweise nicht oder nur in verschlechtertem Zustand zurückgewähren beziehungsweise herausgeben, müssen Sie uns insoweit Wertersatz leisten. Dies kann dazu führen, dass Sie die vertraglichen Zahlungsverpflichtungen für den Zeitraum bis zum Widerruf gleichwohl erfüllen müssen. Verpflichtungen zur Erstattung von Zahlungen müssen innerhalb von 30 Tagen erfüllt werden. Die Frist beginnt für Sie mit der Absendung Ihrer Widerrufserklärung, für uns mit deren Empfang.

Besondere Hinweise

Ihr Widerrufsrecht erlischt vorzeitig, wenn der Vertrag von beiden Seiten auf Ihren ausdrücklichen Wunsch vollständig erfüllt ist, bevor Sie Ihr Widerrufsrecht ausgeübt haben.

7. Breach, Late Payments, Liability

All invoices not paid after 30 days of receipt shall be considered in arrears and interest will be charged on the amount of such invoices at an amount equivalent to five per cent above the base rate of the European Central Bank. The customer is also responsible for any fees (including any penalties or fees that may arise from any misuse or unauthorized use of the customer account) arising from the use of the customer's account number (s) and password (s).

8. Disclaimer

The customer acknowledges that CARFAX collects data from public records and other sources for use in vehicle history reports and that this data may contain errors or omissions. CARFAX does not guarantee or warrant the correctness or completeness of the vehicle history reports. The customer understands that not all information is available in all jurisdictions and that CARFAX does not have access to certain information that may be available to other parties. The customer also understands that a certain period of time may elapse between CARFAX's receipt of certain information and its inclusion in the Vehicle History Report. The customer acknowledges that the Vehicle History Reports do not contain any conclusions about the condition of any vehicle,

The Client acknowledges that CARFAX's sole obligation in the event of incorrect data being found - where CARFAX receives information from the client about erroneous data and confirmation of the truthfulness of this information from an independent data source CARFAX - is to correct the data. CARFAX does not warrant that the Vehicle History Reports are complete or error-free.

The customer will indemnify CARFAX and its agents for any claim, action or loss, direct or indirect, arising out of the customer's use of vehicle history reports, including, but not limited to, claims for missing, incomplete or incorrect data contained in these reports, and will indemnify CARFAX for losses incurred as a result of the above-mentioned claims, actions or losses.

11. Governing Law, Contract Language

These Terms and Conditions shall be governed by and construed in accordance with German law, excluding its conflict of laws provisions. Any disputes, controversies or claims arising in connection with these Terms and Conditions shall be settled by the courts of Munich, Germany, in accordance with German law. The contractual language is English.

12. Change, severability clause

CARFAX ma prawo do zmiany lub uzupełnienia niniejszych Warunków Handlowych w dowolnym czasie. W przypadku takich zmian lub uzupełnień CARFAX zawiadomi klientów drogą mailową lub w inny dogodny sposób, np. poprzez wyświetlenie zawiadomienia w trakcie logowania. CARFAX zawiadomi klientów najpóźniej sześć tygodni przed wejściem w życie planowanych zmian. Jeżeli klient nie zgłosi zastrzeżeń do zmian w sześciotygodniowym terminie, zmiany staną się skuteczne. We wspomnianym zawiadomieniu CARFAX zawiadomi klientów o skutkach ich milczenia. W przypadku gdy poszczególne postanowienia obecnych Warunków Handlowych będą lub staną się nieważne, ważność pozostałych postanowień pozostanie nienaruszona. Strony umowy uzgodnią wówczas zastąpienie nieskutecznych postanowień takimi postanowieniami, które będą najlepiej odzwierciedlać gospodarczy sens i cel nieważnego postanowienia. To samo odnosi się do wszelkich przeoczeń w niniejszych Warunkach Handlowych.

  1. CARFAX ponosi pełną odpowiedzialność za umyślne i rażące zaniedbanie oraz za straty wyrządzone na skutek obrażenia ciała, uszczerbku na zdrowiu lub utraty życia.
  2. W przypadku nieznacznego zaniedbania, CARFAX ponosi odpowiedzialność tylko za naruszenia istotnych zobowiązań umownych (obowiązek kardynalny). "Obowiązek kardynalny" w znaczeniu niniejszego postanowienia to taki obowiązek, od którego wypełnienia zależy realizacja niniejszej umowy i którego spełnienia klient ma zatem prawo zasadniczo oczekiwać.
  3. W przypadku opisanym w podpunkcie ii. CARFAX nie będzie ponosić odpowiedzialności za brak sukcesu handlowego, utraconych korzyści i straty pośrednie.
  4. Odpowiedzialność przewidziana w podpunktach ii. I iii. jest ograniczona do odpowiedzialności za typowe, przewidywalne straty.
  5. The limitation of liability applies mutatis mutandis to CARFAX employees, agents or representatives.
  6. Any possible liability on the part of CARFAX for warranties and claims under the German Product Liability Act remains unaffected.
